Ceasing business activity in Tunisia follows a multi-step legal process governed by the Commercial Companies Code. Dissolution is first decided by the partners at an extraordinary general assembly, followed by the appointment of a liquidator responsible for settling debts and realizing the company's assets.
Legalium supports every step of the process: drafting the dissolution minutes, publishing the dissolution notice in the JORT, preparing the liquidation accounts, and drafting the liquidation closure minutes. We also handle the final deregistration with the Commercial Register, the CNSS, and the tax administration.
The complete process typically takes between 3 and 6 months. The liquidation phase requires the publication of two notices in the JORT (opening and closure) and at least two general assemblies. Tax deregistration requires all declaratory and payment obligations to be up to date.
