Domiciliation in Tunisia: What Are the Legal Obligations?

Business domiciliation in Tunisia is governed by legal provisions that both the domiciled company and the domiciliation company must respect. The domiciliation contract is the cornerstone of this relationship. It must be established in writing, signed by both parties and registered with the competent authorities to be enforceable against third parties.

The minimum duration of the domiciliation contract is set at one year. This contract must explicitly state the obligations of each party: address provision, mail reception and forwarding conditions, termination procedures and renewal clauses. The absence of a written contract exposes both parties to administrative penalties.

The domiciliation company has several legal obligations. It must verify the identity and activity of the domiciled business, maintain a register of companies domiciled on its premises, and allow administrative inspections. It must also ensure that its premises comply with applicable health and safety requirements.

The domiciled company, for its part, must use the domiciliation address as its official registered office on all commercial and administrative documents. It is required to report any change in its legal situation to the domiciliation company and to maintain the contract in force as long as the address is used as the registered office.

In case of contract termination, the company must transfer its registered office to a new address within a reasonable timeframe. Maintaining a domiciliation address without a valid contract constitutes an irregularity that can lead to complications during administrative procedures or tax audits.

Administrative inspections are possible at the domiciliation address. Tax administration agents, CNSS officers or other bodies may visit the registered office to verify the reality of the business activity. The domiciliation company must facilitate these inspections and provide necessary information about domiciled companies.
