Documents Required to Create a Business in Tunisia

Creating a business in Tunisia requires preparing a complete administrative file. The first essential document is a certified copy of the national identity card for Tunisian nationals, or the passport and residence permit for foreign nationals. Each partner and the manager must provide these identity documents to be included in the incorporation file.

The articles of association are the founding document of the company. They must be drafted in Arabic (or bilingual Arabic-French) and contain mandatory information: company name, registered office, corporate purpose, company duration, capital amount, share distribution, management methods, and dissolution conditions. The articles must be signed by all partners and legalized.

The capital deposit certificate issued by the bank is a key document in the file. It proves that the share capital has been deposited in a blocked account in the name of the company being formed. Without this certificate, registration with the Commercial Registry cannot be completed. The issuance period is generally 24 to 48 hours after the actual deposit of funds.

A lease agreement or domiciliation certificate is required to justify the registered office address of the company. If you are renting commercial premises, the lease must be registered with the tax office. If you opt for domiciliation, a domiciliation contract signed with an approved company is sufficient. This document certifies that the business has a legal address in Tunisia.

The tax existence declaration (Model P form) must be filed with the relevant tax control office within 30 days of the start of activity. This form enables the assignment of the tax identification number (tax registration number) that will be used for all subsequent tax returns. The form must be accompanied by a copy of the articles and the registration certificate.

A certificate of non-bankruptcy is required for the company manager. This document, issued by the clerk of the court of first instance, certifies that the manager is not subject to a prohibition from managing a business. It is valid for three months from its issue date, so it is advisable to request it at the appropriate time in the creation process.

For certain regulated activities, specific authorizations are required before registration. Commercial activities in food, health, education, or transportation sectors require prior approvals or licenses issued by the relevant ministries.
